Matthew Flemming joined our board of directors in November 2023. Mr. Flemming is an experienced executive and board member with a career spanning leadership roles in transportation, energy, and industrial manufacturing. He currently serves as Chief Business Development Officer of SMG Industries Inc. (OTCQB: SMGI), a national transportation services company, and continues as Chairman of its Board. Over the past decade, he has also held positions as Chief Executive Officer and Chief Financial Officer of SMG, guiding the company through growth and strategic transitions.
Since 2021, Mr. Flemming has also served on the Board of Correlate Energy Corp. (OTCQB: CIPI), including a term as Chairman. Earlier in his career, he led HII Technologies Inc., an oilfield services company focused on water management, safety services, and portable power for U.S. exploration and production companies. He has also held senior finance and executive positions at Hemiwedge Industries, Shumate Industries, and Excalibur Industries, gaining deep expertise in industrial manufacturing and oilfield applications.
Mr. Flemming began his executive career founding and running FARO Pharmaceuticals, followed by serving as Chief Executive Officer of WorldByNet, a Houston-based technology company. He earned a Bachelor of Arts in Finance from the University of Houston.
Bringing a strong background in logistics, capital markets, and corporate governance, Mr. Flemming contributes significant strategic, business, and financial expertise to the boards and companies he serves.
Leo Womack joined our board of directors on January 10, 2025. Mr. Womack is an accomplished executive, investor, and board leader with more than three decades of experience spanning real estate, finance, and corporate governance. Since 1986, he has served as President and Director of Gulf Equities Realty Advisors, Inc., a diversified real estate portfolio management company. He is also Chief Executive Officer of Ramsey Financial Group, a single-family office managing a broad portfolio of assets for the Leo B. Womack Family Trust.
In addition to his leadership roles, Mr. Womack serves on the boards of numerous private companies, holding positions such as Chairman and Audit Committee Chair. Since 2015, he has been a Director and Audit Committee Chairman of Petrolia Energy Corporation Inc. His career also includes service on the boards of several NASDAQ and OTC-listed companies, where he frequently chaired audit committees and contributed to strong governance practices.
Mr. Womack is licensed as a Certified Public Accountant and a real estate broker, and previously held licenses as a securities broker and as a member of the National Association of Corporate Directors. He earned a Bachelor of Arts from Texas A&M University.
With deep expertise in accounting, capital markets, and governance, Mr. Womack adds significant strategic, financial, and leadership experience to the organizations he serves.
Todd Palin joined our board of directors on February 25, 2025. Mr. Palin of Big Lake, Alaska is a seasoned businessman, champion snowmachine racer, and former First Gentleman of Alaska. He brings nearly two decades of experience in energy production from his career with BP on Alaska’s North Slope, where he managed all phases of facility operations and upheld the highest standards of safety and performance. His firsthand knowledge of Alaska’s unique resource challenges informs his perspective on balancing traditional energy with innovative approaches.
Outside the energy sector, Todd is a four-time champion of the Iron Dog Race, the world’s longest and most demanding snowmachine competition. He has competed since 1993, logging thousands of miles across some of Alaska’s harshest terrain. His record of perseverance and teamwork in the Iron Dog reflects the same grit and determination he brings to his professional life.
Todd is also a fourth-generation Bristol Bay commercial fisherman with deep ties to Alaska’s natural resources and communities. Drawing from his Alaska Native heritage, he remains committed to responsible stewardship and the economic vitality of the state. Whether on the North Slope, on the trail, or on the waters of Bristol Bay, Todd’s career reflects a lifelong dedication to Alaska’s people and its future.
Alexander Monje joined our board of directors on November 21, 2025.
Mr. Monje is a Partner and Chief Legal Officer of 10X Capital, a role he has held since 2022. He has served on the boards of several publicly traded companies, including as a non independent director of CEA Industries, Inc. beginning in August 2025, and previously as Chairman of the Board of Directors of Nubia Brand International Corp. from March 2022 to May 2023.
Prior to joining 10X Capital, Mr. Monje was a member of the sponsor team of a publicly listed special purpose acquisition company. Earlier in his career, he practiced law as a commercial and securities litigator representing domestic and international investors, private companies, and public companies, and also held roles in institutional equity sales at Gabelli and Company and international wealth management at Morgan Stanley.
Mr. Monje holds an MBA from the University of North Carolina Kenan Flagler Business School, a JD from the University of Miami School of Law, and a BS from the University of Miami.
The board of directors believes that his experience in capital markets, public company governance, and securities law qualifies him to serve on the board.
Omar Hussein joined our board of directors on November 21, 2025. Mr. Hussein is the Co Founder and Chief Strategic Officer of ConvergeFi, a venture backed AI company transforming real estate lending, which he co founded in 2023. Prior to ConvergeFi, he served as Chief Financial Officer of two companies with announced initial public offerings, including Sparks Energy, a power services company, and PrimeBlock, a data center company with more than 100 MW of deployed capacity.
Earlier in his career, Mr. Hussein worked as an investment banker focused on technology, media, and telecommunications, including roles at Citigroup and BMO Capital Markets, and began his career at Morgan Stanley. He has also held senior roles with startup companies and served as an investor at Insight Venture Partners.
Mr. Hussein holds an MBA from the Stanford University Graduate School of Business and a BA from New York University.
The board of directors believes that his experience in capital markets, mergers and acquisitions, and preparing companies for public offerings qualifies him to serve on the board.
Robert Byrne joined our board of directors on November 21, 2025.
Mr. Byrne has nearly three decades of experience as an entrepreneur, trader, and capital markets advisor to public and private companies. Since September 2024, he has served as a principal and strategic advisor through Alpha Nine Ventures LTD and, since 2021, as President of TB Byrne & Associates, advising micro- and small-cap issuers on acquisitions, corporate finance, restructuring, recapitalizations, and exit strategies.
In these roles, Mr. Byrne works closely with boards and management teams on complex capital structures, strategic financings, and balance sheet optimization, including debt and convertible instruments, PIPE transactions, registered direct offerings, and Regulation A and Regulation Crowdfunding financings. His experience also includes advising on digital asset treasury strategies and real world asset tokenization initiatives.
From 1997 to 2018, Mr. Byrne was a full-time equities and futures trader, and since 2008 he has written on markets and trading strategy as a contributing columnist for TheStreet.com. Over his career, he has advised companies across sectors including energy, technology, financial services, and digital assets.
The board of directors believes his capital markets expertise and issuer advisory experience qualify him to serve on the board.
Marcus Laun has spent the past twenty years as a founding principal or senior advisor to over fifteen publicly and privately held companies. His experience includes advising and investing Nurture, Inc. an organic baby food company which eventually sold to Group Danone for $250mm.
Marcus is also founder and CEO of GrowthCircle.com and Geopulse Exploration Inc., a media company specializing in the production and distribution of short films for corporate clients. He also has advised and raised capital for companies in the solar, wind, oil, gas, and alternative fuel industries.
As Managing Director of Knight Capital Group (the largest market-maker of equities in the US)., he oversaw syndicates for over $300 million in financing.
He has a BS in Hotel Management from Cornell University, and an MBA from Columbia University.
Cyla Apache is a highly motivated corporate controller, experienced in building, leading, and developing dynamic teams, with significant experience implementing software and developing efficient workflows. She also has an extensive background in tax law, enjoys both the financial and operational side of business, and has proven that an accounting department can contribute to the revenue and profitability of a company.
Cyla has successfully completed both an MBA, and an MS in Accounting. She also holds a CPA designation from the California State Board of Accountancy, along with an Enrolled Agent designation from the IRS.
Jennifer Standley has over 15 years experience building and leading startups in a variety of industries. Specializing in marketing and business development, she has played a pivotal role in streamlining operations, enhancing brand awareness, and boosting overall revenues for several direct-to-consumer sectors, particularly in the organic food industry.
She is passionate about advancing better environmental practices—be it through the promotion of organic foods for kids or contributing to Sky Quarry’s journey towards environmental sustainability.
Jennifer has a BA in Business Management and Humanities from Brigham Young University and a Professional Designation, AA degree in Design & Visual Communications from the Fashion Institute of Design & Merchandising.
Mr. Zickell has over 40 years of experience in the roofing industry, beginning as a self-employed roofer before joining Owens Corning and later GAF, where he managed multiple roofing and fiberglass mat plants. He became VP of Manufacturing and Engineering at GAF, overseeing significant operations and earning the Chairman’s Award for his contributions.
Tom went on to lead Georgia Pacific’s roofing division and founded NEI, a successful self-adhesive roofing underlayment manufacturer. He developed a patented method for recycling shingles and later founded ARI, RAS-Tech, and RTI, securing multiple recycling patents and partnering with Sky Quarry to advance shingle recycling technology.
Tom has a BA in Political Science from Assumption University, an Economics degree from State University at Albany, and an MBA from Suffolk University.
Darryl Delwo has over 25 years’ experience building and leading finance teams in global companies with significant operating scale and complexity. He has held senior positions in high growth public and private firms, providing strategic oversight to finance and operations, including $150mm of M&A activity, and joint venture and refinancing transactions.
Darryl has a BC in Accounting and Business Management from University of Calgary, holds CMA and CPA designations from CMA and CPA Alberta, and a Controllership Certificate from the Institute of Chartered Accountants of Alberta.
David Sealock is a highly accomplished, results-driven senior executive leader with over 30 years of strategic management and business leadership. He has a track record of building high-performing teams with a strong focus on setting corporate strategy, executing over $1.2Bn in equity and debt transactions, joint ventures and M&A deals.
David served as CEO of Petroteq Energy, President of Autus Ventures, Vice President Technology – Petroleum Technology Alliance Canada; President & COO of Sulvaris; President & CEO of Sunshine Oilsands; EVP of MegaWest Energy; & has held senior management positions with Deer Creek Energy, CNRL, Petrovera Resources, Total, and Chevron.
David has a BS in business management and is a Registered Engineer with the Alberta Society of Engineering Technologist (ASET).
